Zoglo provides a collection of online resources, including classified ads, forums, and various email services, (referred to hereafter as "the Service") subject to the following Terms of Use ("TOU").

ACCEPTANCE OF TERMS AND CONDITIONS BY USER

YOUR USE OF THE PRODUCTS AND SERVICES IS GOVERNED BY THESE USER CONDITIONS WHICH YOU SHOULD READ CAREFULLY BEFORE USING THE PRODUCTS AND SERVICES. BY CLICKING ON THE "I/WE AGREE" BUTTON, YOU ACKNOWLEDGE THAT YOU HAVE READ THE USER CONDITIONS AND YOUR AGREEMENT TO BE BOUND BY THE USER CONDITIONS. THESE USER CONDITIONS REPRESENT A BINDING CONTRACT BETWEEN US. MODIFICATION

Zoglo reserves the right, at its sole discretion, to alter, change modify these terms and conditions at any time. Such modifications shall be effective immediately upon the posting thereof. It is the responsibility of the user to check them on regular basis on the following link: http://www.zoglo.com/terms

REGISTRATION PROCESS

1. Zoglo requires user to register before using the Services of Zoglo.
2. When user registers, he agrees to provide true, accurate, up-to-date and complete information ("Registration Data") as required by the Registration Form(s) made available to user via the site.
3. Zoglo may rely upon user Registration Data to establish user business status, whether user is eligible to use any of the Services or otherwise to identify and/or contact user. If user's Registration Data is untrue, inaccurate, significantly out-of-date or incomplete, Zoglo may terminate forthwith or suspend your current and future use of the Services (or any part of it), in Zoglo's sole discretion.
4. Zoglo, reserves the right, in its sole discretion, to reject registrations from any person or entity.

PASSWORD AND SECURITY

1. User will receive a password after the completing of the registration process. User will be responsible for maintaining the confidentiality of the password and to prevent the unauthorized use of it. User is fully and solely responsible for all activities that occur under and by using his password.
2. If user know or suspect that an unauthorized person knows or is using his password, he must promptly notify Zoglo helpdesk, by sending email to either abuse AT zoglo DOT com or support AT zoglo DOT com.. Zoglo will cancel user's password and allocate user a new password.
3. Zoglo will not be liable for any loss or damage arising from an unauthorized person gaining access to the Site or any of the Products and Services.

CONTENT

User understand that all postings, messages, texts, files, images, photos, videos, sounds, or other materials ("Content") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated. More specifically, User is entirely responsible for each individual item ("Item") of Content that user post, email or otherwise make available via the Service. User understands that Zoglo does not control, and is not responsible for Content made available through the Service, and that by using the Service, user may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable.

LINKS TO OTHER WEBSITES

The Site may contain links to third party web-sites which are not under Zoglo's control. Zoglo provide such links only as a convenience and do not endorse and are not responsible for the contents of any linked site or any site linked to from a linked site. Zoglo makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Furthermore, Zoglo will not be liable in any way for any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed or otherwise made available via the service. The material on this website does not constitute advice and user should not make (or refrain from making) any decision or take (or refrain from taking) any action.

INDEMNIFICATION

By accessing and/or using this website you expressly agree to defend, indemnify and hold harmless Zoglo and its subsidiaries, partners, affiliates, officers, agents and employees against any and all claims, losses, liabilities, costs and expenses (including but not limited to legal fees) arising from your breach of any of these Terms and Conditions or your violation of any local or international laws, codes or regulations, and/or any third party's rights, including, but not limited to, infringement of any privacy rights. This obligation will survive the termination of this agreement.

By using Zoglo services user accept to indemnify Zoglo from any litigation that may arise out of user's advertised material and any third-party’s rights, (including, without limitation, infringement of any copyright trademark, service mark, trade secrets, right of privacy or publicity or any other third party right). The terms of this section shall survive the termination of your relationship with Zoglo.

NOTIFICATION OF INFRINGEMENT

If user believes that user's work has been copied in a way that constitutes copyright infringement, or any intellectual property rights of user have been otherwise violated, please notify Zoglo for notice of claims of copyright or other intellectual property infringement at abuse AT zoglo DOT com.

If the user wants to remove the copied content from the site then User should provide Zoglo with:

1. Identify the material on the zoglo site that user claim is infringing, with enough detail so that we may locate it on the website;
2. A statement by user that user have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or its license holder;
3. A statement by user declaring under penalty of perjury that
   (1) the above information in user's Notice is accurate, and
   (2) that user is the owner of the copyright interest involved or that user is authorized to act on behalf of that owner;
   (3) the copy of the registered copyright certificate or the certificate showing the registration of any intellectual property.
4. User address, telephone number, and email address; and
5. User physical or electronic signature.

PRIVACY POLICY

Zoglo operates a strictly confidential and professional service. None of user's personal details will be divulged to a third party unless user gives Zoglo, his/her consent. Zoglo takes user's privacy seriously and takes every reasonable precaution to safeguard the personal information which user supply to Zoglo.

The data which user provides to Zoglo will be held as user has provided it.

Zoglo will not provide user's personal information to any third party without user's prior consent. However, under certain circumstances the force of law may require the provision of information to the legal authorities. In order to maintain the integrity of its website and safeguard the interests of its members Zoglo will comply with any such legally binding request.

The internet is not a 100% secure medium for communication and, accordingly Zoglo cannot guarantee the security of any information user send to Zoglo via the Internet. Zoglo is not responsible for any loss or damage to user or others may suffer as a result of the loss of confidentiality of such information.

Zoglo is the sole owner of the information collected on this site. Zoglo only has access to collect information that user voluntarily give us via email or other direct contact from user. Zoglo will not sell or rent this information to anyone.

Zoglo will use user's information to respond to user regarding the reason user contacted us.

Unless user ask Zoglo not to, Zoglo may contact user via email in the future to tell user about specials, new products or services

Zoglo use "cookies" on this site. A cookie is a piece of data stored on a site visitor's hard drive to help Zoglo to improve user access to Zoglo site and identify repeat visitors to Zoglo site. For instance, when Zoglo use a cookie to identify user, user would not have to log in a password more than once, thereby saving time while on Zoglo site. Cookies can also enable Zoglo to track and target the interests of Zoglo users to enhance the experience on Zoglo site. Usage of a cookie is in no way linked to any personally identifiable information on Zoglo site.

RESTRICTION ON USE

1. The restrictions on use of the Services which are set out in paragraph ' B ' below apply to all uses by user of all or some of the Services, where so indicated. Zoglo may suspend and/or block and/or end access to user to use the Services if user is in breach, or Zoglo has reasons to believe that user may be in breach, of paragraph ' B ' below, or any other provision of these User Conditions.

2. User agrees not to:

   • violate any laws or third party rights when using the Site;

   • use the Site if user is not able to form legally binding contracts;

   • use the Exchange for any purpose other than business to business transactions in the course of user's normal business activities;

   • knowingly make available on user's web-site or knowingly upload files that contain software or other material, data or information not owned by or licensed to user;

   • copy, modify, or distribute content from the Site and Zoglo’s copyrights and trademarks;

   • use the Site, any of the Services or user's web-site in any way to send or distribute unsolicited commercial email or "spam", chain letters, or pyramid schemes;

   • or any similar abuse of the Site, the Services or user's web-site;

   • make available or upload files to user's web-site or to the Site that contain a virus or corrupt data;

   • falsify the true ownership of software or other material or information contained in a file any User makes available via the Site;

   • publish, post, distribute or disseminate defamatory, false, inaccurate, misleading, defamatory, or libelous content (including personal information), infringing, obscene, indecent or other unlawful or insulting, inappropriate or abusive material or information via the Site or user's web-site.  Zoglo have the right, in its sole discretion, to remove from the Site, any such material or information;

   • engage in activities through the Site or via user's web-site which are illegal or unlawful whether in Dubai or in your home jurisdiction;

   • transfer material to or from the Site, user computer or website which infringes any laws, regulations or the rights of others;

   • provide information in relation to products and/or services offered by user which is false, inaccurate and/or misleading;

   • offer for sale products or services which are (i) fraudulent, counterfeit or stolen; (ii) infringe any third party's copyright, patent, trademark, trade secret or other proprietary rights; (iii) inherently dangerous, including but not limited to weapons, ammunition or explosives or any illegal drugs;

   • link directly or indirectly to or include descriptions of products or services that are prohibited under these User Conditions or to which user do not have a right to list or include;

   • post on the Site or sell through the Site any product or service which would cause Zoglo to violate any law or regulation of any jurisdiction;

   • consummate a transaction outside of the Exchange when the transaction originated on the Exchange;

   • use any device, software or routine to interfere or to attempt to interfere with the proper working of the Site or any transactions being conducted on the Site;

   • take any action which imposes an unreasonable or disproportionately large load on the Site’s infrastructure; or

   • harvest or otherwise collect information about users, including email addresses, without their consent when using the Site.

   • Post, publish, distribute, disseminate any material which is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another's privacy, or is harmful to minors in any way;

   • Post, publish, distribute, disseminate any material that is pornographic or depicts a human being engaged in actual sexual conduct including but not limited to (i) sexual intercourse, including genital-genital, oral-genital, anal-genital, or oral-anal, whether between persons of the same or opposite sex, or (ii) bestiality, or (iii) masturbation, or (iv) sadistic or masochistic abuse, or (v) lascivious exhibition of the genitals or pubic area of any person.

LIABILITIES

1. User is responsible for the content of any material distributed by him through the Site and/or the Exchange. User is responsible for all liabilities arising out of his use of the Site, the Exchange or his web-site.
2. Zoglo will not be responsible for any expenses, damage, loss liability or costs, including legal costs, whether or not consequential, caused as a result of or in connection with User's use of the Site or any of the Products and Services. User agree to indemnify Zoglo for any expenses, damage, losses, liabilities or costs incurred and any claims or legal proceedings which are brought or threatened against Zoglo, in each case arising from user's use of the Site, the Products and Services and/or user's web-site.
3. Zoglo reserve the right to remove any information Zoglo deem to be in breach of any of these User Conditions without notice and/or to make available such information when required to do so by law or when so requested by regulatory bodies or law enforcement organizations.
4. In no event shall Zoglo be liable for any loss of profits or consequential or economic loss of any kind. Our liability will not exceed, in any circumstances, the fees paid by you to register as a User.
5. All implied warranties and undertakings are hereby excluded, to the maximum extent permitted by law.

TERMINATION

User's access to the Site or any of the Services may be ended by either user or Zoglo at any time. Zoglo may also immediately end, suspend or restrict your access to the Site or any of the Products and Services if:

• user breaches these User Conditions
• any event occurs which is beyond Zoglo's reasonable control or that of Zoglo's service providers which in either case prevents us from continuing any of the Products and Services; or
• user performs any thing which user is not suppose to do under clause 12 of this agreement.

OWNERSHIP OF RIGHTS AND SERVICES

1. The [Site and the] Services are Zoglo's property and are copyrighted and protected by copyright laws. Zoglo is the exclusive owner or licensee of any and all copyrights, trademarks, service marks, and any other intellectual property right in the [Site and the] Services.
2. User may print and download portions of the materials contained on the Site for user's non-commercial use provided user maintain the copyright notice and any other notices that appear on any such copies. Any other copying, redistribution, publication or retransmission of any portion of the materials on the Site and the Exchange is strictly prohibited without Zoglo's express written permission. Zoglo agree not to change or delete any proprietary notices from any materials copied from the Site or the Exchange website.
3. All information generated as a result of establishing or operating the Site and the Products and Services shall be Zoglo's property and may be sold, distributed or otherwise disseminated by Zoglo for any purpose whatsoever, provided Zoglo shall not sell, distribute or otherwise disseminate specific information about user in such a way that would identify user, except to the extent authorized in writing by user.

DISCLAIMER OF LIABILITIES AND LIMITATION OF LIABILITY

THIS SITE IS PROVIDED BY ZOGLO ON AN “AS-IS” AND “AS AVAILABLE” BASIS. ZOGLO MAKE NO REPRESENTATION AND GIVE NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS SITE OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES INCLUDED AND OFFERED ON THIS SITE. ZOGLO EXPRESSLY AGREE THAT USRE'S USE OF THIS SITE IS AT USER'S SOLE RISK. ZOGLO HEREBY DISCLAIMS, TO THE FULLEST EXTENT PERMISSIBLE BY LAW, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY AND FITNESS FOR USE OR PARTICULAR PURPOSE. ZOGLO DO NOT WARRANT THAT THE SITE, ITS SERVERS OR ANY EMAIL SENT FROM THE SITE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ZOGLO WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THIS SITE, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES.

LAW AND DISPUTE RESOLUTION

These User Conditions and user's use of the Site and the Services, shall be governed by and construed in accordance with the laws applicable in the Emirate of Dubai. Any disputes arising out of or in connection with these User Conditions and his use of the Site and/or the Products and Services shall be settled by arbitration in Dubai in accordance with the Dubai Chamber of Commerce & Industry’s Rules of Commercial Conciliation & Arbitration, before a single arbitrator selected by mutual agreement or, in the absence of agreement, by the Dubai Chamber of Commerce and Industry on the application of either of us. The language of the arbitral proceedings shall be English.

MISCELLANEOUS

1. If user change his name, e-mail address or any other address or information you provide to us on registration, user must notify Zoglo of the new details promptly
2. Zoglo may vary these User Conditions from time to time. User will be responsible to check the updated term and conditions on site http://www.zoglo.com/terms
3. If at any time Zoglo do not insist on or enforce any of its rights under these User Conditions, Zoglo may still insist on or enforce that right later.
4. If any of these User Conditions is illegal, invalid or unenforceable, the remaining User Conditions will not be affected.
5. All terms relating to the Services are contained in these User Conditions and in the documents referred to in them. These User Conditions will prevail over any other documents purporting to have legal effect.
6. Zoglo has the right to use Registration Data (other than financial information) for marketing purposes and Zoglo may disclose the same to third parties.
